The Italian primary packaging specialist has completed the acquisition of Lombardi Design and Manufacturing, a U.S.-based company focused on cosmetic primary packaging, through its U.S. subsidiary, Lumson USA. Separately, Lumson has acquired 100% of Lombardi Design & MFG Limited in Asia.

Lombardi Design and Manufacturing will retain its existing name and brand, with management and operations continuing under the current structure. Carl Lombardi will remain CEO, providing continuity while supporting the company's growth and integration within the Lumson Group.

“These transactions represent a key strategic milestone in our group’s international development," said Matteo Moretti, president of Lumson Group. "The entry into the North American market through Lombardi Design and Manufacturing and our strategic presence in Asia through Lombardi Design & MFG Limited significantly strengthen Lumson’s international footprint, giving the Group a presence across three continents: Europe, North America and Asia. The industrial and geographic complementarity of our businesses will enable us to be even closer to our global customers and accelerate our growth across international markets.”

“We are excited to join an industrial group with a strong entrepreneurial culture and a long-term strategic vision," said Carl Lombardi, CEO of Lombardi Design and Manufacturing. "This partnership will allow us to further expand our capabilities and deliver even greater value to our customers, while benefiting from Lumson Group’s international footprint and expertise.”

The transactions give Lumson a direct operating presence across Europe, North America and Asia, extending its ability to support multinational beauty and personal care customers across key production and consumption markets.

The U.S. acquisition strengthens Lumson's proximity to North American customers, while the Asian investment establishes a more direct foothold in the broader Asia-Pacific packaging market. Together, the moves expand the group's geographic reach while potentially creating additional opportunities for cross-regional customer relationships, manufacturing partnerships and technology development.

For beauty brands and product developers, the expanded footprint could be particularly relevant as packaging programs increasingly require regional sourcing, supply-chain flexibility and consistent execution across multiple markets. A presence spanning three continents also gives Lumson a broader platform from which to support global launches and adapt packaging capabilities to regional market requirements.

The acquisitions form part of Lumson's longer-term strategy to expand internationally while strengthening its industrial and technological capabilities in cosmetic primary packaging. Rather than simply adding geographic coverage, the moves position the company to connect its European, North American and Asian operations into a broader global platform for beauty and personal care packaging.

The expansion also underscores the continuing importance of localized packaging capabilities within an increasingly global beauty supply chain, where proximity to customers and manufacturing resources can influence development timelines, sourcing strategies and the ability to scale products across regions.

The transactions were managed internally by Lumson’s M&A team, coordinated by Vice President Francesco dell’Elmo, with Board Member Paolo Mancini supporting debt advisory activities. KPMG handled financial and tax due diligence, while Chiomenti and Skadden, Arps, Slate, Meagher & Flom advised Lumson legally. Lombardi Design and Manufacturing was advised financially by Aramar Capital Group and legally by Nixon Peabody and Bonelli Erede. Financing came from a banking pool comprising Intesa Sanpaolo, BNL BNP Paribas, Crédit Agricole Italia and Banco BPM, with additional support from SIMEST, part of the Cassa Depositi e Prestiti Group, to support Lumson’s international expansion.
